TYPE & STYLE DESKTOP END USER LICENSE AGREEMENT

Please read this Agreement carefully. We recommend that you print a copy for future reference.

The Desktop End User License Agreement (“Agreement”, “License”) is a legally binding agreement between you, or if you represent a legal entity, that entity (“you”) and Type & Style, and applies to the Font Software you have purchased.

By downloading or installing the Font Software, you agree to be legally bound by the terms of this Agreement. You may not download, install or use the Font Software without agreeing to the terms of this Agreement.

This Agreement grants you certain limited rights to use the Font Software and does not grant you any permanent or proprietary rights in the Font Software or the typeface designs displayed by the Font Software.

Article 1. Definitions

“Font Software” means the Font Software and the typeface design (including when represented as a bitmap) that appears when the Font Software is used with the appropriate device or application. The Font Software also includes any related data and documentation, as well as any future upgrades or updates that Type & Style may provide to you.

Article 2. Grant of License

Upon payment in full of the non-refundable license fee, Type & Style grants you a non-exclusive, non-transferable, revocable license to use the Font Software in accordance with all terms and conditions of this Agreement. You are granted only the rights expressly stated in this Agreement and any other use of the Font Software is strictly prohibited.

All rights not expressly granted to you in this Agreement are expressly reserved by Type & Style. The Font Software, and all intellectual property rights therein, including copyrights, trademarks, and trade secret rights, are and will remain the exclusive property of Type & Style.

Article 3. Permitted Usage

3.1 Distribution to Authorized Users

You may distribute the licensed Font Software to the authorized number of users specified at the time you purchased this license, who may install the Font Software on their computer workstations to create static images and content for use in print media. The user shall be permitted to install the Font Software on its computer workstation in order to create content for use on books and print media. The users must be users of the Font Software under the license purchased by you and must belong to the same company or household as you.

You may install the Font Software on a single file server for use on a local area network as long as the number of users with access to the Font Software does not exceed the number of users authorized by this Agreement. Installing the Font Software on a server accessible via the Internet or any other external network system is strictly prohibited.

3.2 Embedding

You may embed the Font Software in electronic documents, either as a rasterized representation of the Font Software (e.g., but not limited to PNG or JPEG) or as a subset of the Font Software. Electronic documents in which a subset of the Font Software is embedded may be distributed in a secure format that permits only the display and printing of text and does not allow the Font Software to be extracted.

You may provide a copy of the Font Software to a commercial printer or printer service bureau on a temporary basis for the purpose of printing your production, provided that the Printer Service Bureau agrees to comply with the terms of this Agreement and remove all copies of the Font Software immediately upon completion of the work.

3.3 Use in Broadcast

You may use the Font Software in rasterized form (e.g., but not limited to PNG or JPEG) as part of titles, credits, or other text broadcast on television, video, or film screens, or as part of a work broadcast or transmitted over the Internet or other distribution medium.

Article 4. Restrictions on Use

You are granted only those rights expressly stated in this Agreement, and any other use of the Font Software is strictly prohibited. Without limiting the foregoing, your use of the Font Software is subject to the following restrictions.

4.1 No Transfer

You may not distribute, share, rent, loan, sell, sublicense, lease, assign, or otherwise transfer the Font Software to any third party except as expressly provided in this Agreement.

4.2 No Modification

You may not modify, alter, translate, convert or otherwise modify the Font Software in any way, including converting the Font Software to a different font format, nor may you allow any third party to do so.

4.3 Separate Web Font License Required

You may not use the Font Software on the web for any purpose including, but not limited to, styling text on the website using CSS @font-face. A separate web font license must be obtained from Type & Style to use the Font Software for such purposes.

4.4 No Embedding in Software or Hardware

You may not embed or otherwise incorporate the Font Software into any software or hardware in any form. This includes, but is not limited to, services or applications for distributing e-books, mobile applications, gaming devices, smartwatches, etc.

4.5 No Use in Products with Individual Character Forms

You may not use the Font Software in any product for sale where the product consists of individual letters or symbols from the Font Software.

4.6 Branding and Other Products Prohibited

You are prohibited from manufacturing branding irons, stamps, or other products using the Font Software for the purpose of selling to third parties.

Article 5. Disclaimer of Warranties

The Font Software is provided “as is” without representation or warranty of any kind. Type & Style does not warrant that the operation of the Font Software will be uninterrupted or error-free. In no event shall Type & Style be liable for any damages, including lost profits or data.

Article 6. Termination

This Agreement shall automatically terminate if you fail to comply with any of its terms. Type & Style reserves the right to terminate your license immediately if you breach any provision of this Agreement.

Article 7. Compliance with Laws

You agree to comply with all domestic and foreign laws relating to export or technology transfer regulations.

Article 8. Audit Rights

Type & Style reserves the right to audit your use of the Font Software to ensure compliance with this Agreement.

Article 9. Severability

If any provision of this Agreement is held invalid, the remaining provisions shall remain in full force and effect.

Article 10. Miscellaneous

This Agreement is executed in Japanese, with the English translation for reference purposes only.

Article 11. Governing Law

This Agreement shall be governed by the laws of Japan, with the Tokyo courts having exclusive jurisdiction.
